REGULATIONS FOR THE SALE OF SAAS SERVICES TO COMPANIES IN THE B2B MODEL
I. General Provisions

- Definitions:
- service provider – Jeton Cloud Sp. z o.o. Sp. k., providing saas services under the terms of these regulations.
- Customer – an entrepreneur within the meaning of Article 43¹ of the Civil Code, entering into a contract in the course of business or professional activity.
- saas services – software available in the software as a service model, made available electronically, which the customer pays for in the form of a subscription or a one-time payment for access to specific functionality.
- Rules and regulations – this document regulating the rules for the provision of services and the general rights and obligations of the parties.
- owu – general terms and conditions assigned to each service, which the customer accepts upon payment of the order.
- Scope of Regulations:
- terms and conditions apply to the sale of saas services exclusively to businesses (b2b).
- The service provider does not provide services to consumers within the meaning of Article 221 of the Civil Code.
- The customer declares that he/she is purchasing in connection with his/her business or professional activity.
- Intellectual property:
- all documents, descriptions, products, know-how, technological solutions and other materials provided by the service provider are its intellectual property and are subject to protection under the provisions of the Copyright and Related Rights Act of February 4, 1994 and other applicable laws.
- Copying, distribution, processing or use of these materials without the permission of the service provider is prohibited.
II. Conditions for purchase of services
- No account registration:
- The customer is not required to create an account on the service provider’s website. The online store serves only as a payment path for selected services.
- The conclusion of the contract and the right of withdrawal before signing the contract owu:
- each service has separate general terms and conditions (owu), which are not presented on the website before purchase.
- after paying for the order, the customer receives an owu in the form of a contract, which he is required to sign and return to the service provider.
- if the customer, after reviewing the contents of the owu, decides that he does not want to sign it, he has the right to withdraw from the contract without giving any reason.
- The customer should inform the service provider of its decision by e-mail to: biuro@jeton.pl or by letter to the address indicated in the terms and conditions.
- In case of withdrawal, the funds will be returned to the customer within 14 working days.
- Overriding the T&C agreement after signing:
- after the signing of the owu agreement, its provisions take precedence over the provisions of these regulations.
- the customer accepts the inability to terminate the owu contract after signing it for reasons under the terms and conditions.
- Service delivery time
- The service will be implemented/delivered within 7 days from the date of signing the contract.
- Access to the service will be provided electronically to the email address indicated in the order (the main address provided when ordering)
III. Prices and taxes
- Net prices:
- all prices listed on the website are net.
- VAT will be added to each price in accordance with applicable laws.
- Intra-Community Sales:
- in the case of sales of services to customers from other member states of the european union, transactions will be settled in accordance with the provisions of community law.
- The customer is required to provide a valid VAT-EU number when placing an order.
- Individual billing:
- in case a customer needs a customized approach to payment, he or she can contact the service provider to conduct the transaction outside the store path.
- The terms of such transactions will be agreed individually.
IV. Protection of personal data (RODO)
- Personal Data Administrator:
- The administrator of the personal data is Jeton Cloud Sp. z o. o. Sp. k.
- Purpose and basis of data processing:
- personal data is processed only for the purpose of processing the order and providing services on the basis of Article 6(1)(b) rodo.
- data may also be processed to fulfill legal obligations (Article 6(1)(c) rodo).
- Customer rights:
- The customer has the right to access, rectification, deletion, restriction of data processing, data portability, and to lodge a complaint with puodo.
- Data retention period:
- personal data will be kept for the period necessary for the performance of the contract and for the period required by accounting and tax laws.
- Data sharing:
- personal data may be shared with entities processing data on behalf of the service provider (e.g. payment operators, it service providers) on the basis of data processing entrustment agreements.
- Voluntariness of providing data:
- Provision of personal data is voluntary, but necessary to complete the order.
V. Complaints and Returns
- Reporting complaints:
- Complaints should be reported to the e-mail address: biuro@jeton.pl.
- Complaints are processed within 14 working days.
- Refunds:
- in case of withdrawal from the contract before signing the owu, the customer will receive a refund within 14 working days.
VI. Final Provisions
- Changes to the regulations:
- The service provider reserves the right to change the regulations with 14 days’ notice.
- Applicable law:
- regulations are governed by polish law. Disputes will be resolved by the court having jurisdiction over the registered office of the service provider.
- Exclusion of consumer protection:
- regulations do not apply to consumers within the meaning of the Civil Code and the Law on Consumer Rights.
- Acceptance of regulations:
- the customer, by paying for the order, accepts the terms and conditions, owu and gives all required consents.
